These Terms of Service, referred to as "Terms," apply to the website(s), applications, content, courses, and any other affiliated product or entity provided by or operated by InspireYou, LLC ("InspireYou, LLC," "we," or "us"). This encompasses, but is not limited to, myinspireyou.com and any other website automatically directed to such a site, along with the collective offerings such as sites, content (including third-party suppliers), applications, services, tools, functionality, and features, referred to as the "Services."

Your access to and use of the Services are governed by these Terms, and it is crucial to carefully read them as they contain vital information about your legal rights. By accessing and/or using the Services, you indicate your agreement to these Terms. If you do not comprehend or consent to these Terms, you are not allowed to access or use the Services and must immediately discontinue any such access or use.

For the purposes of these Terms, the terms "you" and "your" pertain to you as the user of the Services. If you use the Services on your own behalf, you represent and warrant to us, each time you access or use the Services, that you are of legal age, fully capable, and competent to enter into a legally binding agreement with InspireYou, LLC. If you access or use the Services on behalf of a company or another entity, then "you" includes both you and that entity. Each time you access or use the Services on behalf of such an entity, you represent and warrant to us that (a) you are an authorized representative of the entity with the authority to bind it to these Terms, and (b) you agree to these Terms on the entity's behalf.

The Services are intended for general informational purposes only and do not offer specific business advice/instruction to any individual or entity. InspireYou, LLC assumes no responsibility or liability of any kind for any result or consequence related in any way, directly or indirectly, to any decision, action, or inaction that you take based on the Services or any information made available to you through the Services.

1. Authorized Users

To access and utilize the Services, individuals must be at least 18 years old and reside within the United States. The Services are not intended for use by children under the age of 13, and such individuals are prohibited from creating an Account (as defined below) or having an Account created on their behalf by a parent or guardian. When you access or use the Services, you affirm and guarantee that you fulfill these criteria. If you are accepting these Terms on behalf of a minor in accordance with the previous statement, you also affirm and guarantee that you will take responsibility for ensuring the minor's compliance with these Terms.

2. Payments, Subscriptions and Cancellations

2.1 Payments

By purchasing stand alone items or by subscribing to our paid Services:

(a) Your payment method (e.g., credit card) may be collected and billed through our third-party processor or the relevant app store to maintain uninterrupted Services.

(b) Taxes may be calculated based on the billing information provided during purchase.

We reserve the right to modify subscription plans or adjust Service pricing at our discretion, with changes taking effect after reasonable notice, unless otherwise stated in these Terms or required by law. When subscribing, ensure timely provision of accurate and valid payment details. Subscriptions are payable according to prevailing payment terms, with processing contingent on full payment receipt. Responsibility for any holds on your account by other payment processors rests solely with you.

2.2 Subscriptions

If you buy a subscription, it will automatically renew at the specified frequency (or monthly if not specified). Your payment method will be charged at the beginning of each new period for the relevant fees and taxes. To prevent future charges, cancel your subscription before the renewal date through your account.

2.3 Refunds

Unless explicitly stated in a course or subscription individual description/terms or mandated by applicable law, payments for Services subscriptions are non-refundable, and no credits are provided for partially used periods. If you cancel in line with Section 2.2, you will retain access to the paid Services until the end of the prepaid subscription period.

3. Restrictions and Confidentiality

3.1 Services Usage Restrictions

To comply with our terms, you must not:

(a) Copy, modify, distribute, or create derivative works from the Services.

(b) Use automation software, hacks, or unauthorized third-party software.

(c) Exploit the Services for commercial purposes.

(d) Share a user subscription or use the Services in a way that may impair functionality.

(e) Attempt unauthorized access or disrupt the Services, accounts, or connected networks.

(f) Circumvent or disable technological measures protecting the Services.

(g) Employ automated devices or processes to extract information from the Services.

(h) Introduce malicious materials into our systems or the Services.

(i) Use the Services for illegal, harassing, or unethical purposes.

(j) Violate any applicable law, regulation, or third-party rights.

(k) Impersonate others or publish inappropriate content.

(l) Access or use the Services in ways not expressly permitted by these Terms.

3.2 Confidentiality

You recognize and consent that the Services have been crafted with significant time and resources by InspireYou, LLC and/or its third-party suppliers. It is deemed confidential and a trade secret of InspireYou, LLC and/or third parties. Your commitment is to uphold the confidentiality of the Services, refraining from disclosing or granting access to any individual.

4. Ownership

4.1 Logo and Branding

All logos, branding, and associated intellectual property of InspireYou, LLC, are exclusively owned by InspireYou, LLC, and are protected by intellectual property laws. Unauthorized reproduction, distribution, or use of the InspireYou, LLC logos and branding is strictly prohibited without explicit and written permission from InspireYou, LLC. Any unauthorized use may result in legal action to enforce and protect our intellectual property rights. Users and visitors to the InspireYou platform are prohibited from using, reproducing, or modifying the InspireYou, LLC logos or branding without obtaining prior written consent. Any requests for such permission should be directed to InspireYou, LLC through the designated contact channels.

4.2 Trademarks, Slogans, etc.

The names "InspireYou, LLC" and its mottos, product/service identifiers, and slogans are registered trademarks exclusively owned by InspireYou, LLC or its affiliates/licensors ("Trademarks"). Unauthorized use of these any of these are strictly prohibited without explicit consent, including any action likely to cause confusion or discredit InspireYou, LLC. Other featured names, logos, and identifiers on the Services belong to their respective owners. The use of Trademarks or other elements on the Service solely benefits their respective owners.

4.3 Member Submitted Content

In using the Services, you can upload, submit, or transmit content ("Your Content"). By using the Services, you grant us a nonexclusive, perpetual, irrevocable, worldwide license to use Your Content for the operation and promotion of the Services and related business purposes (the "Inbound License"). This includes the right for other users to comment on, tag, or use Your Content within the Services. We may also make Your Content available to third parties for distribution, derivative works, comments, or analysis. By posting Your Content, you represent that you have the necessary rights and permissions and that its use won't infringe on third-party rights. We are not responsible for User Content's accuracy or reliability, including Your Content. We may, at our discretion, remove User Content inconsistent with our terms, privacy policy, or other rules, including incomplete or inappropriate posts. We are not obligated to return User Content upon Account termination, except as required by our Privacy Policy or applicable law.

4.4 Marketing Materials

We may identify you as a customer and use your likeness in the following ways, but not limited to: name, photos, quotes, etc.

4.5 Feedback and Improvements

We appreciate your feedback, comments, and suggestions to enhance the Services ("Feedback"). By contributing Feedback, you acknowledge and explicitly agree that it does not confer any right, title, or interest in the Services or the Feedback itself. All Feedback becomes the exclusive property of InspireYou, LLC, and we reserve the right to use and disclose it without further notice or compensation to you. You hereby assign all rights, including intellectual property rights, to InspireYou, LLC, and waive any claim to such rights. Constantly enhancing our Services requires us to measure and analyze user interactions, including usage patterns and characteristics of our user base. Analytics data is maybe collected and utilized at InspireYou, LLC's discretion.

5. Third Parties

The Services may feature Third-Party Materials or links to third-party websites. InspireYou, LLC is not responsible for the content, accuracy, or legality of these materials. We neither endorse nor warrant third-party services, materials, or websites. These are provided for your convenience, and any issues should be addressed directly with the third party or your state authorities.

6. Liability

To the extent permitted by law, InspireYou, LLC entities will not be liable for any damages, including direct, indirect, special, exemplary, incidental, consequential, or punitive damages. This includes but is not limited to the procurement of substitute goods or services, loss of use, data, profits, business interruption, unauthorized access or alteration of your data transmissions to the services, or any other damages arising from your use, inability to use, or malfunction of the services. This applies under any theory of liability, whether in contract, strict liability, or tort (including negligence), even if InspireYou, LLC entities have been advised of the possibility of such damage. The total liability for any damages awarded will not exceed the greater of one-hundred dollars ($100.00) or the amount paid to InspireYou, LLC entities in the past three (3) months. These limitations apply even if the stated remedy fails its essential purpose. Some jurisdictions may not allow the exclusion or limitation of incidental or consequential damages, so this exclusion or limitation may not apply to you.

7. Indemnification

The client is responsible for indemnifying, defending, and ensuring the protection of InspireYou, including its affiliate companies and consultants, from any third-party claims, liabilities, suits, losses, damages, and judgments. The client shall cover all costs and expenses, including legal fees and related expenses, incurred during the investigation, preparation, or defense of any pending or threatened claims or actions arising from the services performed by InspireYou, LLC on behalf of the client.

8. Miscellaneous

If any provision in these Terms is deemed unlawful, void, or unenforceable, it will be treated separately, without affecting the validity of the remaining provisions. InspireYou, LLC can assign these Terms and the granted licenses with your prior written consent; unauthorized assignments are void. No waiver of a breach is a waiver of subsequent breaches. Section headings are for reference only. The Services are operated by us in the United States; your access from outside the U.S. requires compliance with local laws. We're not liable for failures beyond our control. These Terms bind successors and assigns, constituting the entire agreement, superseding any prior agreements between you and InspireYou, LLC.
